MGAWEB is in the business of providing Internet Web Site services to its Independent Agents (IA’s) and their customer/IA's. Each new IA that joins MGAWEB will henceforth be entitled to all program benefits.

NO SPAMMING POLICY

I understand that Electronic Spamming referencing MGAWEB, or any of the MGAWEB Webpages is not permitted. Due to the costs of dealing with complaints, most Internet providers do not tolerate spamming of accounts on their servers. MGAWEB's web-service provider requires that MGAWEB delete the webpages of IA's violating this policy. Unfortunately, most spam complaints do not extend the professional courtesy of contacting webmaster@mgaweb.com first but email all servers involved directly. Most spam complaints have been the result of a new person on the web replying to a spammer or using bulk email advertisers believing that these are acceptable practices. MGAWEB must immediately delete any free webpage implicated in a spamming complaint regardless of the reason to protect the entire MGAWEB website. Therefore, I agree to not use the MGAWEB names or materials in any unsolicited emails and agree not to use MGAWEB in any advertising without prior approval from MGAWEB.

I also understand that my electronic mail must be in compliance with proposed Federal legislation (S.1618 - SECTION 301) to avoid termination.

IA's AS INDEPENDENT CONTRACTORS

I understand that an MGAWEB IA must be of legal age in the state in which he/she is resident.

I understand and agree that I am an Independent contractor and fully responsible for determining my own business activities. I understand that I am not an employee or legal representative of MGAWEB, nor will I represent in any manner that I am an employee or legal representative of MGAWEB.

I understand and agree that I am responsible for the payment of all federal and state self-employment taxes and any other tax that may be required under federal, state, or any regulatory or taxing authority.

I understand and agree that MGAWEB may modify Rules and Regulations and Policies and Procedures for IA’s, as well as its IA Compensation Program and customer services and rate schedules. Such modifications and changes thereto shall, upon written notice to an IA, become a binding part of this agreement.

I understand that this agreement is governed under the laws of the State of Georgia. I further understand and agree that any claim, dispute, or other differences between the parties to this agreement shall be exclusively resolved by binding arbitration pursuant to the Commercial Arbitration Rules of the American Arbitration Association, with arbitration to occur at Albany, Georgia.

PAYMENT OF COMMISSIONS

I understand that all compensation I receive is generated from customers’ paid submissions or from other products or services offered through MGAWEB.  MGAWEB provides a customer based business opportunity - not a "money game".  Neither the mere sponsoring alone of a MGAWEB Independent Agent (IA), nor the purchase of sales aids or accessories, will result in commission or bonuses being paid.

I understand that commissions do not begin to accumulate until after the payment clears the customers account. I understand that commissions are paid every two weeks to all Independent Agents (IA’s) who have an accumulated total earnings of $25.00 or greater. I understand that if my commissions do not equal at least $25.00 in a given month, they will be escrowed until they do and then paid out.

I understand that if I do not have at least one visitor to my Free MGAWEB website in any 120 day period, my Free MGAWEB website and account will be automatically deleted. I understand that in order to reactivate my website I must re-apply.

I understand that no commissions are paid on unpaid submissions.

USE OF TRADEMARKS

I understand and acknowledge MGAWEB’s sole right, title and interest in and to the trade names "MGAWEB's 300,000+ SUPER SUBMISSION," "MGAWEB," and any service marks, trademarks, trade names, logos, or other symbols of MGAWEB (collectively referred to as the "Marks"). IA’s also acknowledge the standards, specifications, operating procedures and other concepts embodied in MGAWEB’s method of doing business. IA’s shall not acquire any right, title or interest in the Marks, and any and all goodwill associated with the Marks and MGAWEB’s business shall inure exclusively to MGAWEB. IA’s shall not directly or indirectly contest or aid in contesting the validity or ownership of any of the Marks. Marks shall not be used by customers/IAs on webpages or any form of advertising without written approval from MGAWEB.

GENERAL

I understand that I am not to post any pornographic, Hate or illegal links anywhere on any MGAWEB site. I also understand that if the name that I select for my MGAWEB site name is in anyway offensive (such as pornographic, hate, vulgar or illegal related) that my site will be immediately deleted.

I understand and agree that this agreement, rules, regulations, policies and procedures, constitute the entire agreement between the parties hereto, and that no other promises, guarantees, representations, or agreements of any kind shall be valid unless in writing and signed by an officer of MGAWEB.

I understand that if I violate any of these policies and procedures that my free MGAWEB site and account will be deleted and any unpaid commissions that are in my account will be forfeited.  I also understand that if I elect to delete my account that any unpaid commissions that are in my account will be forfeited.

I understand that this agreement shall be deemed in effect upon it's receipt and acceptance of your submitted reseller application by MGAWEB at it's Corporate Office located in Thomasville, Georgia.
